User Agreement

1. Eligibility

By using KEEP's services, you confirm that:

  • You are at least eighteen (18) years old.
  • You are the legal owner of the business or an authorized representative with full authority to share business data and enter into this Agreement.
  • You operate a legitimate business registered or operating in Kenya.

2. Lawful Use

You agree to use the service only for lawful purposes. You will not use KEEP to:

  • Conduct or facilitate any illegal activity.
  • Evade taxes or misrepresent transactions to KRA.
  • Launder money or finance illicit activities.
  • Provide false, misleading, or incomplete information.
  • Impersonate another person or business.

3. Your Responsibilities

  • You are responsible for verifying the accuracy of every report, invoice, and summary we provide.
  • You acknowledge that eTIMS compliance is your legal responsibility as the taxpayer. KEEP assists but does not replace your obligation.
  • You must promptly forward transaction messages and respond to information requests in a timely manner.
  • You must keep your WhatsApp number and contact details up to date.

4. Service Availability

We strive to provide uninterrupted service but cannot guarantee 100% uptime. Service may be temporarily unavailable due to maintenance, updates, or factors outside our control (e.g., WhatsApp outages, KRA system downtime, M-Pesa disruptions).

5. Fees and Billing

  • Service fees are agreed individually and confirmed in writing before service begins.
  • Fees are payable in advance unless otherwise agreed.
  • No refunds are issued for partial months after cancellation.
  • We reserve the right to revise fees with thirty (30) days written notice.

6. Termination by Client

You may terminate this Agreement at any time by giving seven (30) days written notice via WhatsApp or email. No penalties apply.

7. Termination by KEEP

We reserve the right to suspend or terminate service immediately if you:

  • Breach this Agreement or our Terms & Conditions.
  • Use the service for unlawful purposes.
  • Provide false or misleading information.
  • Fail to pay fees when due.
  • Engage in abusive or harassing conduct toward our staff.

8. Changes to This Agreement

We may update this Agreement with at least thirty (30) days notice. Material changes will be communicated via WhatsApp or email. Your continued use of the service after the effective date constitutes acceptance of the updated Agreement.

9. Communications

You agree to receive service-related communications from KEEP via WhatsApp, SMS, and email. These include weekly reports, invoice confirmations, payment reminders, and important account notices.

10. No Warranty

The service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the service will be error-free, secure, or uninterrupted.

11. Entire Agreement

This User Agreement, together with our Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and KEEP regarding the use of our services.
